SPC Global Holdings Limited (SPC Global) is a leading diversified Australian food and beverage manufacturer comprising of four business divisions and several key brands, including the iconic SPC brand, established in 1918.
SPC Global was formed through a reverse take-over of ASX listed company, The Original Juice Company by SPC, alongside the concurrent acquisition of Nature One Dairy. The merger of three entities was completed in December 2024, subsequent to the acquisition of Natural Ingredients which completed in November 2024. SPC Global is now listed (ASX: SPG).
Issuer Need
Post the merger SPC Global had announced several key rationalisation initiatives to the market to optimise operations of the merged entity and realise future synergies. SPC Global was assessing multiple funding options to realise these strategies while maximising shareholder value.
FIIG Solution
FIIG sought to introduce a tranche of intermediate capital to complement its existing senior debt facilities. The corporate bond diversified funding sources away from the group’s traditional asset backed facilities and provided the flexibility SPC Global was seeking to strengthen its balance sheet and extend its maturity profile aligning with the group’s medium term strategic objectives. This non-dilutive option helped to maintain shareholder value while also reducing the overall cost of capital.
